Bradley Henn is Co-Leader of the Valuation & Financial Advisory Services practice and specializes in a range of financial advisory roles, including enterprise, equity, fixed income and intangible asset valuations, fairness opinions and solvency opinions in all classes of equity, including preferred stock, common stock, stock options and warrant agreements. Mr. Henn’s industry experience includes aerospace and defense, agriculture, automotive, business and professional services, construction, energy and power products, financial services, healthcare, infrastructure, hospitality, industrials, information technology, life sciences, mining, real estate management, retail and consumer goods, telecommunications, transportation and logistics.
Assignments that Mr. Henn has led include preparing valuations for transaction support, accounting, tax compliance, restructuring and litigation support purposes for both domestic and international entities. He has substantial experience in valuations for financial reporting purposes, including ASC 820 Fair Value Measurement, ASC 805 Business Combinations and ASC 350 Goodwill Impairment and tax valuation opinions consistent with fair market value standards under IRS Revenue Ruling 59-60.
Mr. Henn is routinely engaged by capital market participants, including the preparation of quarterly and year-end fair value analyses to assist private equity firms with accounting and investor reporting requirements, and he assists banks and other lenders by preparing independent collateral valuations. Additionally, Mr. Henn has served as an expert witness in United States Bankruptcy Court.
Representative valuation engagements include providing enterprise valuation of an energy services company to large national bank acting as agent to a lender group to assist the lender group with evaluating the subject company and meeting regulatory compliance requirements; rendering a fairness opinion to the board of directors of publicly-traded bank as part of the approval process to acquirer another publicly-traded bank; and serving as valuation expert witness in U.S. Bankruptcy Court on behalf of debtors in the aviation industry to assist with court approval of its plan of reorganization.
Mr. Henn has also provided recurring fair value services to large, international private equity firm to assist with the firms quarterly reporting requirements for privately-held investments across several industries; developed a series of solvency analyses to assist publicly-traded energy company with a corporate reorganization and subsequent divestment of multi-billion dollar asset, ultimately delivering nine separate solvency opinions to the company’s board of directors; and assisted management of food manufacturing and distribution business with the valuation of acquired intangible assists to prepare the purchase price allocation (“PPA”) required for financial reporting purposes.
Additionally, Mr. Henn prepared valuation of preferred stock as part of a complex equity structure of a technology firm to assist management of a target in evaluating an acquisition offer with consideration to be paid in the form of preferred stock in the buyer.
Prior to joining FTI Consulting, Mr. Henn worked in the Business Valuation group at Deloitte Financial Advisory Services in New York.
