About Scott
Scott Tannenbaum has more than 30 years of experience focusing on federal income taxation with an emphasis on matters relating to real estate, partnership and REIT taxation. He has worked on numerous REIT formation and IPO transactions. He has also been involved in many facets of public and private REITs including due diligence, mergers and acquisitions, tax modeling, REIT testing, property acquisitions, tax structured dispositions of real estate, UPREIT transactions and crafting hotel net lease structures that minimize leakage.
Mr. Tannenbaum has substantial experience in structuring funds and joint ventures including fractions rule compliant structures as well as minimizing UBTI. Mr. Tannenbaum also has considerable experience in the structuring of foreign investment in real estate including the use of blocker structures. His expertise also includes structuring partnership roll-ups, disguised sale strategies, Section 704(c) planning and modelling, partnership income and debt allocation issues, preferred equity structures and related matters.
Mr. Tannenbaum has also spent considerable time on partnership workouts and debt restructurings developing solutions to minimize the tax impact of such workouts as well as advising on foreclosures and deed-in-lieu foreclosures. He has also spent considerable time in the areas of percentage of completion accounting, like kind exchanges and other tax efficient strategies with respect to the acquisition and disposition of real estate.
Mr. Tannenbaum provides in-house tax training to the department in various real estate and partnership tax areas.
